Members' Exchange Board Terms of Use

This CLASSIFIED ADVERTISING DISCLOSURE (herein referred to as "Disclosure") is entered into as of by and between Vermont State Employees Credit Union, Vermont, (herein referred to as "Vermont State Employees Credit Union"), and User of Vermont State Employees Credit Union VSECU MEMBERS' EXCHANGE BOARD, (herein referred to as "User").

Conditions, Terms of Participation and Disclaimers

  1. User agrees not to make use of anyone else's information other than is necessary to participate in Vermont State Employees Credit Union's Members' Exchange Board and to complete any Members' Exchange Board transactions.
  2. There is no agency, partnership, joint venture, employer-employee, or franchise-franchisee relationship between Vermont State Employees Credit Union and any User of this service.
  3. The Members' Exchange Board Terms of Use is subject to change at anytime without notice. No provisions contained herein shall change any other contracts or policies between the Vermont State Employees Credit Union and its members.
  4. Any failure of Vermont State Employees Credit Union to exercise and enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provisions. Additionally, if any provisions of these Terms of Use are found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties intentions as reflected in the provisions and any other provisions of these Terms of Use shall remain in full force and effect.
  5. Vermont State Employees Credit Union is not a party to any transaction between any individual or entity who uses the Members' Exchange Board. Users assume all risks, including the risk that they may be dealing with a person or entity who may be acting under false pretenses. The Members' Exchange Board is a venue only and does not screen, censor or otherwise control the listings offered by other Users. Nor does Vermont State Employees Credit Union screen, censor or otherwise control Users of this service. Vermont State Employees Credit Union cannot and does not control the behavior of the participants on this site. We cannot control whether Users of the Members' Exchange Board will complete the transaction they describe on our site. It is extremely important that Users use care throughout their dealings with other people.
  6. By accepting the Terms of Use and using this site, Users release Vermont State Employees Credit Union, its officers, employees, agents, and successors, from any obligation or liability, demand and damages of every kind and nature, known or unknown, arising out of or in any way related to the use of or any transaction relating to this site.
  7. Any use of the Members' Exchange Board shall be for lawful purposes only. Any transmission, distribution, or storage of material or conduct in violation of any applicable local, state, federal or foreign law or regulation is prohibited. This includes, but is not limited to, any unauthorized use of material protected by patent, copyright, trademark or other intellectual property rights; material that is obscene, profane, sexually explicit, defamatory, or libelous; material that constitutes an illegal threat, violates the rights of privacy or publicity, or violates export control laws; sale or exchange of any firearms; or unsolicited email or service placing advertisements ("SPAM"). Vermont State Employees Credit Union prohibits the listing or sale of any goods, the sale of which constitutes a violation of any applicable law, statute, ordinance or regulation. All forms of SPAM, and all activities that have the effect of facilitating SPAM are strictly prohibited.
  8. Vermont State Employees Credit Union's purpose and intent is to provide free buy and sell classified ad services to credit union members. Vermont State Employees Credit Union restricts the placement of business related ads, including ads which would or could compete with the core business of a credit union. Credit Union core business services include, but are not limited to; checking, savings, investments, insurance, financial planning, electronic banking services, consumer loans, mortgage loans, construction loans, commercial loans, etc. The restriction on business related ads extends to any attempts by businesses or organizations to sell goods or services for profit or fundraising purposes.
  9. Vermont State Employees Credit Union will maintain a User's listing on the Members' Exchange Board for a period of 45 days beginning on the date of submission. It is the User's responsibility to delete his or her listings once the item has been sold or the item is effectively no longer "for sale" within the six-week time frame.
  10. If Vermont State Employees Credit Union, in its sole discretion, determines that a violation of the Terms of Use has occurred, Vermont State Employees Credit Union may immediately delete the offending material from its site, cancel the account of the offending party and any related parties, exclude said parties from further participation in the site, and pursue any other legal remedies that it may have. Vermont State Employees Credit Union reserves the right to refuse service to anyone at any time, to remove any listings or any advertising for any reason, and to take any action that it believes is necessary or prudent to minimize or eliminate any potential liability, including but not limited to the release of any User information to the appropriate law enforcement or governmental agency. Said actions may be taken without notice to any User.
  11. User gives Vermont State Employees Credit Union a non-exclusive, worldwide royalty-free, irrevocable, sublicensable (through multiple tiers) right to exercise copyright and publicity rights, in any existing or future media, known or unknown, over the material or User data displayed in User's listing or bids. "User data" shall mean all information submitted by you. Any User data, including data which can be reasonably used to identify a specific individual such as their name, address, phone number, etc., shall be deemed to be the property of Vermont State Employees Credit Union. User shall take all reasonable efforts to ensure that said data is accurate and complete and not misleading in any way.
  12. DISCLAIMER: This site is provided by Vermont State Employees Credit Union on an "as is" basis. Vermont State Employees Credit Union makes no representations or warranties of any kind, express or implied, as to the operation of the Members' Exchange Board, the information, content, materials or products, included on the Members' Exchange Board. To the full extent permissible by applicable law, Vermont State Employees Credit Union disclaims all warranties, expressed or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose. Vermont State Employees Credit Union will not be liable for any damages of any kind arising from the use of the Members' Exchange Board, including but not limited to direct, indirect, incidental, punitive, and consequential damages. Additionally, Vermont State Employees Credit Union makes no warranty that this service will meet User's requirements, that the service will be uninterrupted, timely, secure, or error free. Nor does Vermont State Employees Credit Union make any warranty as to the results obtained from the use of the service or as to the accuracy or liability of any information obtained from this service. User understands and agrees that any information or material and/or goods or services obtained through the service is done at User's own discretion and risk and that User will be solely responsible for any damages resulting from any transaction. No advice or information, whether oral or written, obtained by User from Vermont State Employees Credit Union or through or from the service shall create any warranty not expressly stated herein.
  13. User agrees, if User observes any violation of the above Terms of Use by anyone using said site, that User shall contact Vermont State Employees Credit Union and report said abuse or disregard of the Terms of Use.
  14. User and Vermont State Employees Credit Union agree to submit to the personal and exclusive jurisdiction of the courts located in the County of Washington, State of Vermont, USA.
